Terms and Conditions of Use and Sale

Preamble

ippi is a service of Worldline Communication, a simplified joint-stock company (société par actions simplifiée) with share capital of 75,000 euros, registered with the Paris Trade and Companies Register under number 414 673 061, whose registered office is located at 128, rue La Boétie, 75008 Paris, France.

Worldline Communication is a provider of telecommunications services. ippi offers, in particular, internet telephony services for individuals and businesses, including SIP telephony services, unlimited plans, virtual numbers, number porting and business telephony solutions.

The Services make it possible, in particular, to make and receive communications to and from landline phones, mobile phones or IP networks, depending on the applicable offers, destinations and rates.

Use of the Services requires a compatible internet connection and, depending on the Service used, compatible equipment or a compatible application.

The Services do not necessarily allow calls to be routed to certain special, satellite or premium-rate numbers. The conditions applicable to each destination are set out on the Website and in the ippi Rates in force.

Calls to emergency numbers may not be routed by default. Where access to emergency services is offered and activated, it is subject to the applicable technical and regulatory conditions. The Customer must keep another means of contacting the emergency services in the event that the ippi Service is unavailable.

Every Customer must accept these General Terms and Conditions before subscribing to any of the Services.

Article 1 — Definitions

Subscription: an offer or set of offers subscribed to by the Customer, entitling the Customer to use the Services for a given contractual period.

Customer: any natural person of legal age or any legal entity that has subscribed to the Services and is bound by these General Terms and Conditions.

Confidential Codes: usernames, passwords and, more generally, any element enabling the Customer to access their account, their Personal Area or the Services.

Personal Area: online area enabling the Customer to manage their account, their Services, their payment methods, their usage and their settings.

Agreement: the contractual whole made up of these General Terms and Conditions, the specific terms applicable to the Services subscribed to and, where applicable, the Rates and other applicable contractual documents.

Prepaid Communications Credit: credit purchased in advance by the Customer and used to pay for communications and Services billed on a usage basis.

Contracted Month: a calendar month, from the first to the last day of the month.

Party(ies): individually the Customer or ippi, and collectively the Customer and ippi.

Services: all the telecommunications services and related services offered by ippi, free of charge or for a fee.

Website: the ippi website, accessible in particular at ippi.com.

Rates: the ippi rates in force, available on the Website or in the Customer's Personal Area.

Article 2 — Acceptance and enforceability of the General Terms and Conditions

2.1 Acceptance

Subscribing to the Services implies full and unreserved acceptance of these General Terms and Conditions.

The Customer acknowledges having read these General Terms and Conditions before subscribing and having the legal capacity required to enter into a contract.

Where provided for, acceptance is given by ticking the box provided for that purpose.

2.2 Changes to the General Terms and Conditions

ippi may amend these General Terms and Conditions, in particular to reflect changes in the Services and in the applicable technical, commercial or regulatory conditions.

The applicable General Terms and Conditions are those accepted by the Customer and in force on the date in question.

The Customer is invited to consult the contractual documents available on the Website regularly.

Article 3 — Customer account and access to the Services

3.1 Account creation

The Customer must create an account in order to access the Services that require authentication.

The Customer undertakes to provide accurate, complete and up-to-date information and to keep it up to date throughout the term of the Agreement.

ippi may ask the Customer for any document or information needed to verify their identity, their contact details, their activity or the compliance of their use of the Services.

Where the regulations or conditions applicable to a number or a Service so require, the Customer undertakes to provide the supporting documents requested.

3.2 Confidential Codes

The Customer is responsible for the confidentiality of their Confidential Codes.

The Customer undertakes not to disclose them to third parties and to take all necessary measures to prevent their unauthorised use.

Any use made from the Customer's account is presumed to have been made by the Customer, subject to the applicable legal provisions.

In the event of loss, theft, compromise or suspected fraudulent use of their Confidential Codes, the Customer must inform ippi as soon as possible.

ippi may ask the Customer to change their Confidential Codes or take any measure necessary to secure the account.

3.3 Identity verification

In order to combat fraud, unlawful use and misuse of the Services, ippi may carry out identity checks and request supporting documents.

The Customer undertakes to provide accurate information and the documents requested within a reasonable time.

Failure to provide the necessary information or supporting documents may result in the suspension or restriction of the Services, or even termination of the Agreement under the conditions set out herein.

Article 4 — Term, changes and termination

4.1 Term

The Agreement is entered into for an indefinite term.

Unless otherwise stated, Subscription offers carry no commitment beyond the current Contracted Month.

4.2 Changes to the Services

Where this feature is available, the Customer may change all or part of the Services subscribed to from their Personal Area.

A change may concern, in particular, a plan, a line, a user, an option or any other component of the Subscription.

Changing part of the Services does not automatically change or terminate the other Services retained by the Customer.

Depending on its nature, a change may take effect immediately or from the start of the following Contracted Month.

The applicable rates are those displayed at the time of the change.

4.3 Termination of all or part of the Services

The Customer may request the termination of all or part of the Services subscribed to from their Personal Area, according to the features offered by ippi.

Terminating a Service, plan, line, user or option does not automatically terminate the other Services subscribed to by the Customer.

Termination of all the Services may also be requested where the Customer wishes to end their entire Subscription.

Unless otherwise provided for a particular Service, any termination requested by the Customer takes effect at the end of the current Contracted Month, regardless of the date on which the request is made.

The terminated part of the Subscription will not be renewed from the month following the effective date of termination.

Amounts due for the current Contracted Month remain payable in accordance with the applicable billing conditions.

4.4 Account closure

The Customer may request the deletion of their account under the conditions offered in their Personal Area.

Deleting the account ends the associated Services and access to the Personal Area.

Deleting the account does not erase the data that ippi is legally required to retain, in particular to meet its legal, regulatory, accounting, tax or judicial obligations.

4.5 Termination for breach

In the event of a breach by the Customer of their contractual obligations, in particular non-payment, fraud, abusive or non-compliant use of the Services, provision of inaccurate information or violation of the applicable laws and regulations, ippi may take any appropriate measure, in particular restricting or suspending the Services or terminating all or part of the Agreement.

Where the nature of the breach or the circumstances allow, ippi may ask the Customer to remedy the situation before suspending or terminating.

In the event of a serious breach, fraud, a risk to the security of the network or the Services, or any situation requiring immediate action, ippi may suspend all or part of the Services without notice, within the limits permitted by the applicable regulations.

Termination does not release the Customer from paying the amounts owed to ippi.

Article 5 — Subscription to and activation of the Services

5.1 Subscription

The Customer may subscribe to the Services directly from the Website or from their Personal Area.

ippi may make the subscription subject to validation of the Customer's email address, payment details, identity or any other necessary information.

The subscription becomes effective once validated by ippi under the conditions provided for the Service concerned.

5.2 Changes to the Services

The Customer may change their Services from their Personal Area where this feature is available.

Depending on its nature, a change may take effect immediately or from the start of the following Contracted Month.

The applicable rates are those displayed at the time of the change.

5.3 Virtual numbers

ippi may offer the Customer virtual numbers in various countries and categories.

The allocation of a number is subject to its availability and to compliance with the regulations applicable in the country concerned.

Depending on the type of number, ippi may ask the Customer to provide an address, an identity document, proof of address, proof of activity or any other document required by the regulations or by the provider concerned.

The Customer undertakes to provide accurate information and to inform ippi of any change affecting the conditions of use of the number.

A virtual number does not constitute a property right of the Customer. It is allocated under the conditions laid down by the regulations and the operators concerned.

ippi may have to change or withdraw a number for regulatory or technical reasons, for reasons of availability, or at the request of an authority or operator concerned.

5.4 Inbound number porting

ippi may offer a porting service enabling the Customer to transfer an existing number to ippi.

Porting is subject to the applicable regulatory and technical conditions and to validation by the operator concerned.

The Customer undertakes to provide accurate information and to follow the porting procedure communicated by ippi.

A porting request may be refused, in particular where the information provided is incorrect or where the regulatory or technical conditions are not met.

Any porting fees are those indicated at the time of subscription or in the applicable Rates.

5.5 Outbound number porting

The Customer may request that their number or numbers be ported out to another operator.

To obtain the information needed for this porting, in particular the RIO (Relevé d'Identité Opérateur, the French operator identification code), the Customer must contact ippi.

ippi will provide the Customer with the information needed to carry out the porting request, subject to prior verification of their identity and of their rights to the number concerned.

Outbound porting is then carried out in accordance with the rules and procedures applicable to telecommunications operators.

Article 6 — Conditions of use of the Services

6.1 Compliant use

The Customer undertakes to use the Services in accordance with:

  • these General Terms and Conditions;
  • the specific terms of the offers subscribed to;
  • the applicable laws and regulations;
  • the rules of normal use of telecommunications networks;
  • the instructions communicated by ippi.

The Customer is responsible for the use of the Services made from their account and for the use of their equipment and credentials.

6.2 General prohibitions

It is prohibited, in particular, to use the Services:

  • for fraudulent or unlawful purposes;
  • to infringe the rights of third parties;
  • to circumvent the applicable technical or contractual limitations;
  • to disrupt, overload or degrade the network or the Services;
  • to make automated calls or calls generated in bulk by a computer system, unless specifically agreed by ippi;
  • as a gateway, transit or communications redistribution system;
  • to resell the Services or make them available to third parties without authorisation;
  • for call-centre or telemarketing activities, where these have not been expressly authorised;
  • to make mass, repetitive communications or communications disproportionate to the normal purpose of the Service;
  • for any other use incompatible with the nature of the Service subscribed to.

This list is not exhaustive.

Article 7 — Unlimited plans and normal, reasonable use

7.1 Principle of unlimited plans

The unlimited plans offered by ippi entitle the Customer to included communications to the destinations and under the conditions stated in the offer subscribed to.

The included destinations may change according to the applicable technical, regulatory and pricing conditions.

The list of included destinations is available on the Website and may be updated by ippi.

The term "unlimited" refers to the communications included within the scope and conditions of the offer concerned. It does not mean that the Service may be used without restriction or irrespective of its normal purpose.

7.2 Normal and reasonable use

Unlimited plans are intended for normal and reasonable use of telephony, corresponding to human communications made in the course of ordinary personal or business use, according to the plan subscribed to.

For the Unlimited Elite and Unlimited Centrex plans, communications to the first 100 distinct telephone numbers called per month and per plan are included in the plan.

This limit concerns the number of distinct numbers called, not the total number of communications made to those numbers.

Several calls to the same number therefore count as a single distinct number.

Beyond 100 distinct telephone numbers called in the same month and per plan, additional communications are not blocked and remain possible. They are then billed on a usage basis at the ippi rate in force for the destination concerned.

Exceeding this limit therefore results neither in automatic blocking of communications nor in suspension of the Service.

For the Centrex plan, use by several authorised users in the normal course of the Customer's business does not in itself constitute abusive use.

7.3 Non-compliant uses

The following, in particular, are considered non-compliant or liable to constitute abusive use of unlimited plans:

  • automated or robotic calls, or calls generated by a computer system without normal human intervention;
  • mass or automated calling campaigns;
  • intensive cold calling or intensive telemarketing;
  • use of the Service as a call centre or telemarketing platform without specific agreement from ippi;
  • automatic callback, callback or automated dialling systems;
  • rerouting, transit or redistribution of communications;
  • making the plan commercially available to third parties;
  • reselling the communications or the Service;
  • use of the plan as a telecommunications gateway or termination platform;
  • use of the Service that is manifestly disproportionate compared with ordinary telephony use;
  • systematic repetition of very short communications intended to circumvent the conditions of the plan;
  • any use intended to circumvent a technical or contractual limitation;
  • any use liable to disrupt, overload or degrade the ippi network or Services;
  • more generally, any use that does not correspond to the normal purpose of the plan subscribed to.

This list is not exhaustive.

7.4 Monitoring of use

In order to guarantee the quality of its Services, protect its network and prevent abuse and fraud, ippi may monitor the technical and statistical characteristics of the use of the Services, in compliance with the applicable regulations.

The number of distinct numbers called may, in particular, be taken into account to determine which communications are included in the plan and which are to be billed on a usage basis.

Where the use of a plan shows characteristics incompatible with normal and reasonable use, ippi may ask the Customer for any information or supporting document enabling it to understand the nature of that use.

The Customer undertakes to respond fully and truthfully to any request from ippi.

7.5 Billing and measures in the event of non-compliant use

Beyond the limit of 100 distinct telephone numbers called per month and per plan for the Unlimited Elite and Unlimited Centrex plans, additional communications remain permitted and are billed on a usage basis at the ippi rate in force for the destination concerned.

This usage-based billing is the pricing consequence of exceeding the distinct-number limit and does not, in itself, constitute grounds for suspending or terminating the plan.

However, irrespective of the number of numbers called, fraudulent, abusive, automated or diverted use, or use manifestly incompatible with the purpose of the plan, may result, depending on the nature and seriousness of the situation, in:

  • a request for explanations or supporting documents;
  • a temporary restriction of certain features;
  • the suspension of all or part of the Services;
  • an offer better suited to the observed usage;
  • termination of the plan or of the Agreement under the conditions set out in these General Terms and Conditions.

These measures may be taken in particular where use of the Service poses a risk to the security, availability or quality of the network, or where it is manifestly incompatible with the purpose of the plan.

Exceeding the limit of 100 distinct numbers in the course of normal and compliant use of the Service is not in itself considered abusive or non-compliant use.

Article 8 — Prepaid Communications Credit

8.1 How it works

ippi offers a prepaid communications service enabling the Customer to purchase Communications Credit and use it to pay for the Services billed on a usage basis.

The amount of available Credit can be viewed from the Personal Area.

Where the available credit is insufficient, chargeable communications may be interrupted.

8.2 Credit validity

Prepaid Communications Credit is valid for 365 days from the date it is made available, unless specific conditions are displayed at the time of purchase.

The Customer can view the validity conditions of their credit from their Personal Area.

Article 9 — Services and features

9.1 Telephony services

ippi offers various telephony services, including:

  • SIP services;
  • communications plans;
  • unlimited plans;
  • virtual numbers;
  • number porting;
  • business telephony services;
  • a Centrex solution;
  • additional features accessible from the Personal Area.

The availability of each Service depends on the offer subscribed to and on the applicable technical and regulatory conditions.

9.2 ippi Centrex

ippi may offer a cloud-based phone system that allows, in particular and depending on the offer subscribed to, the management of several users, greeting messages, call queues, an interactive voice response system, hold music, call recording and time slots.

The available features are those stated in the Centrex offer subscribed to.

Use of Centrex must remain consistent with its purpose as a business telephony solution.

9.3 ippi Softphone

ippi may offer the ippi Softphone application for compatible devices.

Use of the application requires credentials and settings compatible with the Customer's account.

The available features may vary depending on the version of the application, the operating system, the device used and the technical conditions of third-party networks.

9.4 Call forwarding

ippi may offer a call forwarding feature enabling calls to be transferred to another number.

Communications resulting from call forwarding may be billed outside the plan at the ippi Rates in force.

9.5 Voicemail

ippi may offer a voicemail feature enabling voice messages to be received and stored and, depending on the features available, forwarded by email.

The applicable technical conditions and limits are those stated in the Personal Area.

9.6 Call filtering

ippi may offer a feature enabling certain incoming or outgoing calls to be blocked or allowed according to the settings defined by the Customer.

The Customer is responsible for the rules they configure in their Personal Area.

9.7 Web callback

ippi may offer a callback feature from a website.

In this context, operation and billing are as stated when the feature is activated and in the Personal Area.

Communications generated by this feature may be billed outside the plan at the ippi Rates in force.

9.8 Number displayed during calls

The number displayed to the other party depends on the features activated on the Customer's account and on the rules applicable to caller ID presentation.

Where the Customer does not have a virtual number configured, ippi may display a default service number, in particular +33 1 76 600 700, subject to the applicable technical conditions.

The display of a number may be subject to the regulatory and technical rules applicable to operators and to the destination networks.

Article 10 — Pricing and billing

10.1 Rates

The rates applicable to the Services are those displayed on the Website or in the Personal Area at the time of subscription to or use of the Service.

Unless otherwise stated, rates are shown exclusive of taxes for business Customers where this is specified.

The rates applicable to out-of-plan communications are those in force at the time of the communication.

10.2 Free communications

Communications made exclusively between ippi users or to certain open SIP networks may be free of charge where this is stated in the conditions of the offer.

The conditions under which communications are free may change according to the applicable technical or commercial conditions.

10.3 Billing of communications

Communications are billed on the basis of the technical data recorded by ippi, in particular call detail records.

These data constitute the elements on which billing is based.

Communications are generally billed per second. In rare cases, certain communications may be billed per indivisible minute. The billing method applicable to each destination is stated in the ippi rate schedule in force.

10.4 Out-of-plan billing

Certain communications or features are not included in plans and are billed on a usage basis.

This applies in particular, where relevant, to call forwarding, certain destinations or features, and communications made beyond the conditions included in a plan.

For the Unlimited Elite and Unlimited Centrex plans, communications to distinct numbers beyond the first 100 distinct numbers called in the month are billed on a usage basis at the ippi Rates in force.

10.5 Viewing usage

The Customer can view information about their usage from their Personal Area, where available.

This information is updated regularly and may be provided with a slight delay compared with actual usage.

The billing data recorded by ippi are the reference for determining the amounts due.

10.6 Disputing an invoice

Any dispute concerning an invoice must be sent to ippi as soon as possible and, unless otherwise provided by law, within ninety (90) days of the invoice being made available.

The Customer must provide the information needed to identify the invoice and the dispute.

A dispute does not release the Customer from paying the undisputed amounts.

Article 11 — Payment

11.1 Payment methods

The payment methods available depend on the type of Service and on the Customer's status.

For prepaid services, ippi may accept, in particular, Visa and Mastercard bank cards and PayPal, where these methods are offered.

For postpaid services, ippi may offer, in particular, payment by bank card or by direct debit from an eligible bank account, according to the conditions displayed at the time of subscription.

In rare cases, ippi may also allow payment by bank transfer, in particular where the Customer has previously paid a deposit and with ippi's agreement.

Other payment methods may exceptionally be accepted by ippi, subject to its prior agreement. A flat-rate handling fee of €20 may then be charged, in particular where processing the payment requires specific intervention or a specific administrative procedure.

11.2 Subscription

Subscriptions are billed monthly and in advance.

Where a subscription starts mid-month, the applicable billing conditions are those stated at the time of subscription. The first debit may, in particular, cover the current month, followed by a pro-rata adjustment according to the subscription date and the conditions of the offer.

The exact billing arrangements are stated to the Customer at the time of subscription.

11.3 Failed or rejected payment

In the event of a rejected or failed payment, ippi may ask the Customer to remedy the situation.

A flat-rate fee of €15 may be charged for a rejected payment, according to the conditions applicable to the Service.

In the event of persistent non-payment, ippi may suspend or terminate the Services under the conditions set out herein.

11.4 Amounts due

Suspension or termination of the Services does not deprive ippi of the right to claim payment of the amounts already owed by the Customer.

Article 12 — Quality, availability and interruption of the Services

ippi uses the means reasonably available to ensure the proper functioning of the Services.

However, the Services rely in particular on telecommunications networks, internet connections, equipment, operators and infrastructure that may be independent of ippi.

ippi therefore does not guarantee uninterrupted availability or quality of Service.

The Services may, in particular, be temporarily unavailable in the event of:

  • maintenance;
  • updates;
  • technical failure;
  • a problem affecting a third-party operator;
  • loss of the Customer's internet connection;
  • a power supply problem;
  • congestion or an incident affecting a third-party network;
  • force majeure;
  • any event beyond ippi's control.

Where possible, ippi endeavours to inform the Customer of maintenance operations liable to affect the Services.

Article 13 — Liability

13.1 Liability of ippi

ippi uses the means reasonably necessary to provide the Services.

ippi cannot be held liable in the event of misuse of the Services by the Customer, fraudulent use of their credentials, incompatibility of their equipment, malfunction of their internet connection or any event beyond ippi's control.

ippi cannot be held liable for indirect damage resulting from the use or unavailability of the Services, in particular loss of turnover, loss of profit, operating loss, loss of data or commercial harm, within the limits permitted by the applicable regulations.

Where ippi's liability is legally established, the total amount of compensation for which ippi may be liable in respect of a single event or series of events may not exceed the amount of the monthly subscription actually paid by the Customer for the Service concerned.

These limitations do not apply where the law prohibits limiting or excluding ippi's liability.

13.2 Liability of the Customer

The Customer is responsible for their use of the Services and of their equipment.

The Customer undertakes to use the Services in accordance with these General Terms and Conditions and with the applicable laws and regulations.

The Customer is responsible in particular for the consequences resulting from:

  • the disclosure of their Confidential Codes;
  • the use of their account by a third party;
  • the use of their equipment;
  • any fraudulent use resulting from their own negligence;
  • any non-compliant use of the Services.

The Customer undertakes to indemnify ippi, within the limits permitted by law, for the direct consequences of any breach attributable to them.

Article 14 — Intellectual property

The texts, images, logos, trademarks, software, interfaces, databases, content and other elements making up the Website and the Services are protected by the applicable intellectual property laws.

Unless expressly authorised by ippi, any reproduction, representation, adaptation, modification, distribution or exploitation of all or part of these elements is prohibited.

Subscribing to the Services does not transfer any intellectual property rights to the Customer.

Commercial reference

A Customer that is a professional legal entity authorises ippi to mention its company name and reproduce its logo as a commercial reference on the Website, in its marketing materials and on its social networks. This authorisation is free of charge and non-exclusive; it grants ippi no other right over the Customer's trademarks and logos.

The Customer may withdraw this authorisation at any time, without giving reasons, by simple email to customer service. ippi will then remove the reference from its online materials within thirty (30) days, without being required to withdraw documents already printed or distributed.

Any other use, in particular the publication of a testimonial or a case study, requires the Customer's prior express consent.

Article 15 — Personal data and confidentiality

ippi processes the Customer's personal data in accordance with the applicable personal data protection regulations, in particular the General Data Protection Regulation (GDPR) and the applicable French legislation.

The detailed conditions for the collection, processing and retention of data and for the exercise of the Customer's rights are set out in the Privacy Policy available on the Website.

Data may be processed in particular in order to:

  • create and manage the Customer account;
  • provide the Services;
  • manage payments and billing;
  • ensure the security of the network and the Services;
  • prevent fraud and abusive use;
  • provide Customer support;
  • comply with ippi's legal and regulatory obligations.

ippi may be required to disclose certain data to the competent authorities where such disclosure is required or permitted by law.

The Customer has the rights provided for by the applicable regulations concerning their personal data.

Article 16 — Numbering and telecommunications regulations

The Customer acknowledges that telephone numbers are allocated within the framework of the applicable numbering rules and regulations.

A number allocated to the Customer does not constitute a property right in that number.

ippi may be required to change or withdraw a number for regulatory or technical reasons, or at the request of a competent authority or an operator.

The Customer undertakes to comply with all regulatory obligations applicable to them in connection with the use of the Services.

Article 17 — Fraud and security

In order to protect its network, its Customers and its partners, ippi may implement fraud detection and prevention measures.

ippi may, in particular, analyse the technical and statistical characteristics of communications and of account usage in order to detect unusual behaviour or behaviour likely to present a risk.

In the event of suspected fraud, hacking, account compromise or non-compliant use, ippi may immediately take any measure reasonably necessary to protect the Customer, the network or the Services, in particular:

  • requesting information or supporting documents;
  • temporarily restricting certain features;
  • suspending communications;
  • temporarily blocking certain operations;
  • requesting a change of credentials;
  • suspending or terminating the Services.

These measures may be taken irrespective of the number of distinct numbers called under an unlimited plan.

Article 18 — Support and complaints

ippi provides the Customer with a support service and help resources accessible in particular from the Website and the Personal Area.

To facilitate the handling of a request, the Customer must provide the information needed to identify their account and describe the problem encountered precisely.

Requests are handled as quickly as possible, taking into account their nature and complexity.

Article 19 — Assignment of the Agreement

ippi may assign or transfer all or part of its rights and obligations under these General Terms and Conditions to any company of its choice, in particular in the context of a restructuring, a sale of business or a transfer of a line of business, subject to compliance with the applicable legal provisions.

The Customer may not assign their Agreement or the rights arising from it to a third party without ippi's prior agreement, unless otherwise provided by law.

Article 20 — Force majeure

ippi cannot be held liable for a failure to perform its obligations where such failure results from an event of force majeure within the meaning of French law or from an event reasonably beyond its control.

Events that may be concerned include, in particular, events affecting telecommunications networks, internet infrastructure, data centres, third-party suppliers or operators and electricity networks, as well as natural, social, administrative or regulatory events preventing or disrupting the provision of the Services.

Article 21 — Severability

If any provision of these General Terms and Conditions is declared null, unlawful or unenforceable, the other provisions shall remain fully applicable.

The Parties shall endeavour, as far as possible, to replace the provision concerned with a valid provision having an economic and legal effect as close as possible to the original intention.

Article 22 — Governing law and dispute resolution

These General Terms and Conditions are governed by French law.

In the event of a dispute relating to the formation, interpretation, performance or termination of the Agreement, the Parties shall first seek an amicable solution.

For consumer Customers, the legal provisions relating to jurisdiction and, where applicable, to the mediation schemes available to consumers remain fully applicable.

For business Customers, subject to the applicable mandatory rules, any dispute relating to these General Terms and Conditions falls within the jurisdiction of the competent French courts and, where the rules on jurisdiction so permit, of the courts with jurisdiction over ippi's registered office.

Article 23 — Entry into force

These General Terms and Conditions come into force on publication and replace the previous versions applicable to new subscriptions.

The version applicable to the Customer is the one accepted at the time of subscription, subject to any subsequent changes validly made in accordance with these General Terms and Conditions and the applicable regulations.
